Disclaimers
Website Provided “As Is.” To the fullest extent permitted by law, the Website and all content and materials made available through it are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory.
No Warranties. To the fullest extent permitted by law, Zenia disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
No Guarantee of Availability or Error-Free Operation. We do not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
Limitation of Liability
Limitation. To the fullest extent permitted by law, in no event will Zenia, and its owners, managers, members, employees, contractors, clinicians, agents, and affiliates (collectively, the “Zenia Parties”) be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of data, business interruption, or goodwill, arising out of or related to your access to or use of (or inability to access or use) the Website or any content on the Website, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if advised of the possibility of such damages.
Cap on Liability. To the fullest extent permitted by law, the total liability of the Zenia Parties for any claim arising out of or related to the Website or these Terms will not exceed the greater of: (a) the amount you paid to Zenia through the Website for the applicable services giving rise to the claim in the six (6) months preceding the event giving rise to liability, or (b) one hundred dollars (US $100).
Basis of the Bargain. You acknowledge that the limitations in this section are a fundamental part of the basis of the bargain between you and Zenia and will apply even if a remedy fails of its essential purpose.
Consumer Rights. Some jurisdictions do not allow certain limitations of liability. Nothing in these Terms limits liability to the extent such liability cannot be limited under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless the Zenia Parties from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the Website; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) your User Content.
Dispute Resolution (Arbitration) and Forum
Informal Resolution. Before initiating arbitration or a court proceeding, you and Zenia agree to first attempt to resolve any dispute informally by contacting the other party and describing the nature of the dispute and the relief requested.
Agreement to Arbitrate. Except as provided in this section, you and Zenia agree that any dispute, claim, or controversy arising out of or relating to the Website, these Terms, or your relationship with Zenia (each, a “Dispute”) will be resolved by binding arbitration on an individual basis.
Arbitration Rules and Administrator. The arbitration will be administered by a reputable arbitration provider mutually agreed by the parties. If the parties cannot agree, either party may request that the arbitration be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, as modified by these Terms, to the extent permitted.
Arbitration Location and Format. Unless the parties agree otherwise, the arbitration will take place in Portland, Oregon. The arbitrator may conduct proceedings by telephone, video conference, or based on written submissions where appropriate.
Authority of Arbitrator. The arbitrator will have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable, except that a court of competent jurisdiction will have authority to determine the enforceability of the class action waiver below.
Class Action Waiver. You and Zenia agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Exceptions; Small Claims; Injunctive Relief. Either party may: (a) bring an individual action in small claims court if the claim qualifies; and/or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights.
Oregon Courts for Certain Matters. To the extent any Dispute is not subject to arbitration or may be brought in court under the exceptions above, you agree that it will be brought exclusively in the state or federal courts located in Oregon, and you consent to personal jurisdiction and venue in those courts.
Time Limit. To the extent permitted by law, any Dispute must be brought within one (1) year after the claim arises; otherwise, the Dispute is permanently barred.
Governing Law
These Terms and any Dispute will be governed by the laws of the State of Oregon, without regard to conflict-of-laws principles, except to the extent preempted by applicable federal law (including the Federal Arbitration Act, as applicable).
Changes to the Website or These Terms
Website Changes. We may modify, suspend, or discontinue all or part of the Website at any time.
Terms Updates. We may update these Terms from time to time. The “Last Updated” date at the top (if provided) indicates when these Terms were last revised. Your continued use of the Website after updated Terms are posted constitutes acceptance of the updated Terms.
Miscellaneous
Entire Agreement. These Terms (together with the Privacy Policy and any Cancellation/Refund Policy and other policies expressly incorporated by reference) constitute the entire agreement between you and Zenia regarding the Website and supersede all prior or contemporaneous understandings.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
No Waiver. A failure to enforce any provision of these Terms is not a waiver of that provision.
